Champion’s Edge Agreement

and
Nadalie Walsh, 2 Timber Ridge Lane Mansfield, IL 61854 nadaliew@illinois.edu (765)717-2672 ("Consultant”)
This Agreement is entered into on the date the contract is signed between Becky Beaulieu, operating as Championship Culture Coach LLC (“Owner”), and Nadalie Walsh ("Consultant") .
WHEREAS, Owner is engaged in the provision of consulting services specializing in culture coaching and mental performance coaching; and
WHEREAS, Owner is interested in hiring the Consultant to co-facilitate two Champion’s Edge Confidence and Performance Clinics on Nov. 9, 2024 6-9pm in Joliet, IL and Nov. 23, 2024 3:30-7:30pm in Maple Plain, MN. Both parties agree to be present 30 minutes prior to the start of the clinic and for the duration of the clinics.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
DETAILS OF WORK
1.1 Travel: The consultant will book her own flight to MSP Airport on Nov. 22 or the morning of Nov. 23, 2024. The Owner will book lodging for the consultant. The consultant will be reimbursed for all travel costs associated with travel including airport parking, flight, gas, lodging, car rental/Lyft/Uber, and food. The consultant will provide receipts to the Owner within 15 days of the 2nd clinic with a total calculated for reimbursement.
1.2 The Consultant agrees to co-collaborate on 3 social media posts regarding the Champion’s Edge Clinic. The Owner and her staff will do the work for this and the consultant agrees to post 1-2 IG stories with the link to book. The Consultant will share the post about time and location of the clinics on Facebook and Instagram. The consultant will film a short video under 20 seconds about overcoming fear and comparison for social media. The Owner’s social media team can add captions, and complete the post.
1.3 The Consultant agrees to pitch a marketing deal with Kelly from GK, and will call or text 3 clubs in the Chicago area to personally invite them to the Joliet clinic. The Owner has lots of connections in Minnesota so will make calls, texts, and emails to 6+ MN Clubs and High School Coaches. The Owner has or agrees to call or text 6+ coaches in the Chicago area. The consultant will communicate with the owner if she’d like our staff to follow up by sending a flyer to any clubs that she personally knows.
1.4 The consultant and owner agree to serve the gymnasts registered for the clinic to the best of their ability. Best practices in the industry will be used and we agree to teach confidence, overcoming fear, comparison, creating a failure recovery plan, and focusing on what’s in their control. The consultant and owner agree that coaches are welcome to attend the Champion’s Edge Clinic as professional development at no cost.
2.PAYMENT
2.1 Payment Terms: The Owner and Consultant agree to split the profit of the champion’s edge clinics 50% owed to the Owner and 50% Owed to the Consultant. Costs to upgrade the website, marketing costs including small NIL deals, printing and mailing of flyers, hourly rates of graphic designer/opperations, and costs to host gym will be subtracted out of the profit. Costs of travel including flight, car, food, lodging, and gas will also be subtracted out of profit. There may be other unforeseen costs to put on this clinic. Any commissions owed to the Consultant pursuant to this Agreement shall be paid within thirty (30) days of the last clinic including an itemized breakdown of profit and expenses.
2.2 Method of Payment: Commissions shall be paid to Consultant via check.
3. TERM AND TERMINATION
3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party or the work is completed in accordance with the provisions herein.
3.2 Termination: Either party may terminate this Agreement upon thirty (30) days' written notice to the other party. The contract may not be terminated after the website is live for registrations of the Champion’s Edge Clinics.
4. MISCELLANEOUS
4.1 Entire Agreement: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral, between the parties.
4.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Wisconsin.
